Regular General Assembly is held within 3 months of every calculation period of the company and at least once a year, and the issues that are prepared by the Board of Directors are discussed taking the 369th clause of the Turkish Commercial Code into consideration and decisions are made about these issues. Every shareholder has 1 vote in the General Assemblies. In Regular or Special General Assemblies, a representative of Ministry of Industry and Trade should be present. The decisions made at the presence of a representative are invalid. The shareholders can be represented by a representative whom they choose among themselves or assign from outside the General Assembly. The representing shareholders in the company are authorized to vote for both themselves and for the other shareholders they represent. The Board of Directors determines the content of the authorization document within the regulations of the Capital Markets Board. It is required for the authorization document to be in written form. The representative should vote according to the will of the shareholder assigning his/her authority with the condition of stating his/her will in the authority document. When voting with a representative, the regulations of Capital Markets Board are followed. In the General Assemblies the voters raise their hands within the framework of the regulations of Capital Markets Board, and the voters who vote by attorney do so by showing the documents stating the shareholder who has assigned his/her authority. Upon the request of the attending shareholders who have 1/10 of the capital they are representing, a secret voting may be realized. The Regular General Assembly of Martı Real Estate Investment Trust in 2006 was held on 27.04.2007 at 11 am in İnönü Street, Devres Han, No:96/4, Gümüşsuyu-Beyoğlu/İstanbul under the supervision of Ministry Commissioner Recep Demir who was assigned by the 26.04.2007 document with number 25370 by Istanbul Industry and Trade Provincial Directorate affiliated to Ministry of Industry and Trade.
